1. Intellectual Property of DesignMind LLC

The design, layout, and original content of this website belong to DesignMind LLC, and are our intellectual property. We proudly display portfolio samples to showcase our previous design services. We do not claim ownership over the trademarks, logos, or final intellectual property of our past clients. Any such materials are displayed for demonstrative purposes only. 

 

2. Communication Guidelines

DesignMind LLC provides a contact form and a direct WhatsApp chat for project inquiries. Visitors agree to communicate respectfully and must not use these features to send spam, unsolicited sales pitches, malicious software, inappropriate message, or abusive messages. DesignMind LLC reserves the right to block communications that violate these terms.

 

3. Browsing vs. Hiring

Using this website or contacting DesignMind LLC does not establish a formal client-designer relationship. If a project is initiated, a separate contract will be provided to outline specific project details and payment terms.

 

4. Ownership, Licensing, and Source Files

• Final Deliverables: Upon final payment, copyright ownership of the completed design transfers to the Client for commercial use. While the Client owns the rights to the finished custom composition, any third-party stock assets (photography, fonts, icons) remain the property of their original creators. Consequently, the final design cannot be registered as a trademark or claimed as entirely exclusive artwork. These assets cannot be extracted, separated, or used independently from the provided file.

• Non-Exclusive Assets: Designs may incorporate non-exclusive, third-party licensed assets (including stock imagery, icons, AI-generated elements). The Client acknowledges they do not own exclusive rights to these individual elements.

• Source Files: To strictly comply with third-party licensing agreements, DesignMind LLC does not distribute raw, editable files containing licensed elements without removing those elements prior to delivery, unless the assets are inextricably merged with background elements. Open-source Google Fonts may be included. Adobe Fonts may be utilized, provided the Client maintains an active Adobe subscription to open the files. The Client is responsible for licensing or substituting any third-party assets that must be removed for compliance.

 

5. Accepted Payment Methods

DesignMind LLC accepts payments via major credit and debit cards processed through PayPal, Stripe, or Venmo. DesignMind LLC absorbs all standard third-party payment processing fees; the Client will not be subject to unexpected transaction surcharges. All fees are billed in USD. Alternative payment methods may be arranged upon request, at the sole discretion of DesignMind LLC. Work or subscription periods will not commence until payment is successfully processed and cleared.

 

6. Monthly Subscription Terms

• Activation & Billing: The Client's subscription activates upon successful payment. A new invoice is provided monthly, offering the option to renew and continue services. If a sign-up or request occurs after 5:00 PM EST, it is logged as the next business day's intake.

• Operating Hours: DesignMind LLC operates Monday through Friday (excluding national holidays) and does not guarantee communication or file delivery on Saturdays or Sundays.

• Turnaround Times: Standard design requests are subject to an estimated two (2) business-day turnaround. Average delivery is by 5:00 PM EST on the due date.

• Cut-Off Times: Requests or edits must be submitted to the queue in the designated tracking sheet by 5:00 PM EST to be counted for that business day. Requests submitted via other communication channels (such as WhatsApp or email) are not considered officially active until the Client logs them into the tracking sheet. Submissions after 5:00 PM, or on weekends/holidays, are logged at 9:00 AM on the following business day. 

 

7. Scope of "Active Tasks" & Queue Management For Subscriptions

Your subscription allows for 1 or 2 active tasks to be worked on simultaneously. A task is defined as a single design deliverable (e.g., a flyer, a logo concept) or a defined phase of a larger project, or one round of revisions depending on size and complexity.

• Large Projects: For extensive requests (e.g., eBooks, long presentations), DesignMind LLC reserves the right to segment the project into smaller, sequential jobs. The first segment will be delivered within the standard 2 business-day cycle, with subsequent segments following at the same pace, provided the Client does not insert higher-priority requests.

• Revisions & Minor Edits: All requested revisions must be logged as new, separate tasks on the designated tracking sheet. DesignMind LLC determines, at its sole discretion, the complexity of a revision. Full rounds of revisions will require the standard 2 business-day cycle. Minor edits (such as brief text swaps or color adjustments) may be completed and returned ahead of the standard turnaround time, prioritizing efficiency. Upon submission of a deliverable, DesignMind LLC begins the next active task listed on the tracking sheet, and the turnaround timeline resets.

 

8. Nature of the Subscription & Queue Processing

• The Service: You are purchasing continuous access to our design queue for the billing cycle, not a guaranteed quota of tasks. Your fee reserves our dedicated working time.

• Queue Processing: We process requests sequentially, working on 1 or 2 active tasks at a time depending on your subscription tier. We aim for an average 2 business-day turnaround per request, but delivery timelines will naturally vary based on the scope and complexity of each task.

• Shared Responsibility: The volume of completed work depends heavily on your promptness in providing clear briefs, quick feedback, and timely approvals. We are not liable for a lower volume of completed tasks if communication is delayed or revisions are highly complex.

• Our Availability: We strive for absolute consistency, but occasional delays due to unexpected circumstances (like illness or emergencies) may happen. We will always communicate this transparently.

 

9. Subscription Pauses

Clients may pause subscriptions for up to thirty (30) consecutive calendar days. Unused paid business days are paused, and the billing cycle shifts forward upon reactivation. Pause requests received between 9:00 AM and 5:00 PM EST take effect the following business day, after the current day's work is completed. Pauses exceeding 30 days result in automatic cancellation (see Section 10 for refund calculations).

 

10. Cancellation and Pro-Rated Refunds

• Prepaid Monthly Subscriptions: The Client may terminate this agreement at any time via written notice. Cancellations (at any time, or while paused, or after 30-day pause expires) requested between 9:00 AM and 5:00 PM EST take effect the following business day. Upon cancellation (or expiration of a 30-day pause), the Client will receive a pro-rated refund for the unused portion of their billing cycle. This is calculated by taking the monetary value of the remaining unused business days in the subscription and refunding 75% of that value. DesignMind LLC retains the remaining 25% to account for the commitment of reserved capacity.

• Per-Project Quotes: If a Client pays in full in advance and cancels before completion, a refund is issued for the uncompleted portion of the work (e.g., if 25 out of 50 pages are completed, a 50% refund is issued). If paying in installments, the Client must process payment in full for any work already completed and submitted by DesignMind LLC.

 

11. Scope of Work & Revisions For Per-Project Quotes

All project quotes cover the base scope of work only. Revisions, edits, and additional concepts are quoted and billed separately unless explicitly stated otherwise in the project proposal.

12. Promotional Offers ("Free Asset" Bonus) 

When explicitly offered, Clients who spend $250 or more on a single invoice are eligible to select one (1) free design asset from the active promotional list on the website.

• Scope of Work: The free asset includes one (1) round of revisions and delivery of final, print-ready digital files only. Physical printing, shipping, and the creation of logos or brand identities are strictly excluded.

• Content: The Client must supply all final written text. DesignMind LLC will provide the graphic design, which may incorporate standard licensed stock assets (imagery, icons, fonts) as needed.

• Limitations: Limit one (1) free asset per Client. The promotional asset has no cash value, cannot be deducted from the invoice total, and cannot be exchanged. DesignMind LLC reserves the right to modify, suspend, or terminate this offer at any time.

 

13. Website Disclaimer

DesignMind LLC provides this website "as is" on the Wix platform. DesignMind LLC does not guarantee uninterrupted service and is not legally or financially liable for technical issues, downtime, glitches, or third-party outages (such as WhatsApp).

 

14. Governing Law

These terms and conditions are governed by the laws of the State of New Jersey.

 

15. Updates to These Rules

DesignMind LLC reserves the right to update these terms as the business evolves. Modifications will be posted directly to this page.
